The Government of Israel and the Government of Canada, hereafter referred to as the Parties;
ANIMATED by a desire on the part of both Parties to nurture and strengthen economic and commercial cooperation between Israel and Canada
RECALLING the Memorandum of Understanding between Israel and Canada of March
29, 1992 that established 'the current programme of work under the Point Economic Commission (JEC);
RECOGNIZING that private sector initiatives have been the mainstay of the conduct of business between our two countries in the pursuit of new export opportunities;
RESOLVING to undertake a new and sustained effort to identify and facilitate the establishment of joint industrial research and development projects between Israeli and Canadian companies;
HAVE reached the following understanding:
SECTION I
The Parties determine that the objectives of this Memorandum of Understanding (MOU) are to:
a. Promote the activities of their respective private sectors to increase the level of bilateral industrial research and development joint venture cooperation;.
b. Facilitate the identification of specific projects or partnerships between Israeli and Canadian companies that could lead to industrial R&D cooperation;
c. Coordinate and focus suitable government resources and programmes to support closer commercial relations and industrial cooperation, including the establishment of a joint industrial R&D cooperation Initiative;
d. Give expression to this initiative through the establishment of a Canada Israel Industrial R&D programme (CIIRD) that will identify private sector interests, execute a complementarity study of Canadian and Israeli industrial R&D capabilities in priority sectors, and identify specific Canada/Israel matches for possible joint venture cooperation.
SECTION II
Industrial R&D Cooperation
The Parties will, through the establishment of the CIIRD programme, promote and enhance all forms of private sector industrial cooperation through appropriate channels in accordance with their respective economic and development policies and priorities by encouraging, supporting and, facilitating:
a. The establishment of a database on Israeli and Canadian companies' capabilities as prospective research partners;
b. The exchange of information on technologies and know-how, licensing arrangements and industrial consultancy;
c. contacts between respective science and technology communities;
d. Exchanges of views on the formulation and application of science and technology policies;
e. The matchmaking between Israeli and Canadian businesses in their effort to establish R&D joint ventures;
f. The transfer of technology through research programmes in order to promote the application, adaptation and improvement of existing and new technological products and processes .
SECTION III
Institutional Structure and Financing
The CIIRD PROGRAMME will be funded, by the Government of Israel and the Government of Canada on the basis of up to $1 M CDN Per year by each government for R&D project support and administration costs for a three-year commitment.
A JOINT BOARD OF DIRECTORS will be responsible for overall management of the programme as set out in the CIIRD statutes as mutually agreed.
The Parties will consult closely on the Implementation of this MOU. The establishment and progress of the CIIRD programme will be reviewed periodically by a sub-committee of the JEC.
Both governments will endeavour to FACILITATE the work of this programme.
SECTION IV
Fair and Equitable Treatment
Subject to its laws, regulations and policies, each Party will accord fair and equitable treatment to the individuals, companies, government agencies and other entities of the other Party engaged in the pursuit of activities under this MOU.
SECTION V
Final Provisions
1. This MOU will take effect on the date of signature.
2. At the request of either Party, this YOU may be revised by mutual understanding
3. Either Party may terminate this YOU at any time on six months' written notice to the other Party.
4. The revision or termination of this YOU will not affect the validity of arrangements and contracts already concluded or of guarantees given under this MOU or of any other trade agreements or arrangements.
